Draft prepared: 31 October 2026 · Effective date: To be confirmed on publication
1. Who we are and acceptance
These Terms govern access to the SubbieFlow website and its cloud software platform (Service). SubbieFlow is a business name operated by Brandon Kermeci, an Australian sole trader (we, us, our). By creating an account, accepting an invitation, or using the Service, you agree to these Terms. A person accepting for a business represents that they have authority to bind that business. If you do not agree, do not use the Service. The Privacy Policy and Cookie Policy describe related information practices; acknowledging a privacy notice is distinct from consenting to optional marketing.
2. Who may use the Service
The Service is initially offered to Australian trade businesses that engage subcontractors, and to their invited subcontractors and authorised staff. Company accounts are subject to manual approval. We may verify business identity, ABN, contact and payment details before granting access. You must provide accurate details, keep them updated and comply with applicable laws. Account credentials must not be shared. You are responsible for activity under accounts you control, except to the extent caused by our failure to meet applicable obligations.
3. Service features and roles
SubbieFlow provides tools for projects, subcontractor work packages, progress claims, variations, approvals, compliance documents, payment schedules and records. The Service is an administrative platform; it is not a bank, escrow provider, licensed payment service, construction certifier, legal adviser or accounting adviser. Trade companies remain responsible for project instructions, contract administration, approving work, validating bank details and paying subcontractors. Subcontractors remain responsible for the accuracy of information and claims they submit. Company roles and permissions govern access; access to subcontractor banking details is intended to be limited to authorised Admin and Finance users, subject to technical verification before launch.
4. Plans, pricing and limits
Published monthly plans currently are Starter A$79 (up to 3 active projects), Growth A$149 (up to 10 active projects) and Business A$249 (up to 25 active projects). Enterprise pricing and limits are agreed separately. Plan features and project allowances are described on the pricing page and at checkout. Invited subcontractors do not pay a SubbieFlow subscription. Prices are in Australian dollars. SubbieFlow is not currently registered for GST and does not currently charge GST on its subscriptions. If our GST registration or pricing changes, we will provide legally required notice and comply with applicable contracts and law. GST charged by subcontractors on their own supplies is separate from SubbieFlow subscription charges.
5. Free trial
Each eligible, manually approved trade-company account may receive one 30-day Growth trial, allowing up to 10 active projects. The trial starts when the approved company is granted access, not when it requests access. No credit card is required for the trial. At expiry, unless a paid subscription has been activated, the company workspace becomes read-only, with historical records visible subject to applicable access permissions. We may take reasonable measures to prevent repeat or fraudulent trials.
6. Billing, renewals and payment
Paid subscriptions are billed monthly through Stripe using the plan and price shown and accepted at checkout. A subscription renews for successive monthly billing periods until cancelled in accordance with the cancellation process. Stripe processes card payments; SubbieFlow does not intend to store full card numbers or security codes. Billing may be subject to Stripe's separate terms and privacy practices. Customers must keep billing information current. Failed payments may result in notices, retry attempts and read-only restrictions as described in the Service, subject to applicable law. Refunds and remedies remain available where required by Australian Consumer Law and other applicable law.
7. Changes, downgrades and cancellations
An authorised company administrator may manage the subscription through available billing controls or by contacting accounts@subbieflow.com.au. Cancellation ordinarily stops future renewals and paid functionality at the end of the applicable paid period, unless a different lawful arrangement is disclosed at cancellation. A downgrade may involve a seven-day period to select projects within the new active-project allowance; where no selection is made, the oldest active projects may remain operational and excess projects become read-only. Companies may swap operational and read-only projects within their allowance. Cancelled or unpaid company subscriptions retain read-only historical access, subject to account closure, security, retention and legal requirements. We will not remove non-excludable statutory rights.
8. Claims, variations and payments
Claims, adjustments, approval statuses, variations, invoices, schedules and payment records are workflow records and do not by themselves create, amend or replace the underlying construction or subcontract agreements. Approval or a displayed payment status is not a guarantee that funds have been transferred. Companies and subcontractors must verify work, amounts, GST registration status, bank details and applicable contractual obligations. SubbieFlow does not withhold retention funds or automatically calculate industry fund contributions. Users should obtain professional advice on taxation, security of payment, employment and construction compliance where needed.
9. Customer content and privacy
Users retain their rights in information and documents uploaded to the Service (Customer Content). You grant us a limited licence to host, process, transmit, display and back up Customer Content as reasonably necessary to operate, secure, support and improve the Service, and comply with law. You must have the rights and permissions necessary to provide Customer Content, including personal information of employees and subcontractors. We handle personal information as described in our Privacy Policy and applicable law. Where we process information on a company's instructions, the company remains responsible for its own lawful collection, notices and access decisions.
10. Security and acceptable use
You must not access data without authorisation, bypass permissions, reverse engineer where prohibited by law, introduce malware, scrape the Service at scale, interfere with availability, or use it for fraud or unlawful conduct. Notify support@subbieflow.com.au promptly of suspected compromised accounts or unauthorised access. We use reasonable safeguards appropriate to the Service; no online system can be guaranteed completely secure. We may suspend access where reasonably necessary to address serious security risks, fraud or legal obligations, with notice where practical.
11. Availability, changes and integrations
We aim to provide a reliable Service but do not promise uninterrupted or error-free operation. Maintenance, outages and third-party failures may affect availability. We may improve, modify or discontinue features, giving reasonable advance notice of material adverse changes where appropriate and subject to applicable law. Future accounting integrations, including Xero, MYOB and QuickBooks, are not promised as currently available unless expressly stated in the Service.
12. Intellectual property
SubbieFlow and its software, design, trademarks, documentation and other materials remain owned by us or our licensors. Subject to these Terms and payment where applicable, we grant authorised users a limited, non-exclusive, non-transferable right to use the Service for their internal business purposes. No ownership in the Service is transferred. Feedback may be used to improve the Service without disclosing confidential customer information.
13. Confidentiality
Each party should take reasonable care with confidential business information obtained through the Service and use it only for authorised purposes. This does not prevent disclosures required by law, to professional advisers under appropriate duties, or of information lawfully public or independently known. Access to project records is controlled by applicable account roles and permissions.
14. Liability and Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, including rights under the Australian Consumer Law. To the extent permitted by law, we are not responsible for decisions made by companies or subcontractors concerning project work, claims, bank-detail verification or actual payments, or for loss caused by inaccurate user-provided information. Any limitation of liability must be interpreted reasonably and only to the extent legally permitted; no blanket exclusion applies to liability that cannot be excluded. If a service guarantee applies and the law permits limitation, any remedy limitation will be only as permitted by that law.
15. Termination, retention and exports
Users may request account closure by contacting support@subbieflow.com.au. We may terminate access for serious or repeated breaches after reasonable notice where appropriate, or immediately where necessary for security or legal compliance. Ending access does not automatically delete all project, claim, invoice, billing or audit records. We retain, delete or de-identify information according to our Privacy Policy, legal obligations, legitimate recordkeeping needs and applicable customer arrangements. Availability and format of exports should be confirmed before launch; users should maintain independent records where required by law.
16. Complaints and disputes
Contact support@subbieflow.com.au for service complaints, accounts@subbieflow.com.au for billing, or admin@subbieflow.com.au for legal/privacy matters. We will seek to resolve disputes in good faith. These Terms are governed by the laws of Victoria, Australia, and the parties submit to the courts of Victoria, subject to any mandatory rights or forums under applicable law.
17. Updates and contact
We may update these Terms to reflect legal, security or Service changes. We will publish the revised version and give appropriate notice of material changes; where required, we will seek fresh acceptance. Continued use after an effective update constitutes acceptance only where legally effective. Operator: Brandon Kermeci trading as SubbieFlow, ABN 65 256 377 693, Victoria, Australia.
